1. What River is — and is not

River is a trading interface and order-execution layer that lets you connect your own accounts at third-party prediction-market exchanges (such as Kalshi, Polymarket US etc... ) and place, manage and monitor orders through a single platform, along with portfolio and reporting.

River is not an exchange, a broker-dealer, a futures commission merchant, an investment adviser, or a counterparty to your trades. Orders you submit through the Service are routed for execution to the relevant third-party exchange using credentials you provide, and are subject to that exchange's own rules, terms and eligibility requirements. We do not provide investment, legal, tax or trading advice, and nothing in the Service is a recommendation to enter into any transaction. You are solely responsible for your trading decisions.

2. Eligibility

To use the Service you represent and warrant that you:

  • are at least 18 years old and have the legal capacity to enter into these Terms;
  • are not located in, or a resident or national of, any jurisdiction where use of the Service or of the connected exchanges is prohibited, and are not a person with whom we or the exchanges are legally barred from dealing (including under applicable sanctions laws);
  • will comply with all laws, regulations and exchange rules that apply to your use of the Service and your trading activity; and
  • provide accurate, current and complete information, including any required invite code, and keep it up to date.

Access is currently invitation-based. We may decline, suspend or revoke access at our discretion, including where we are unable to verify your eligibility.

3. Your account and credentials

You are responsible for safeguarding your account, your password, your River-issued API keys, and the exchange credentials you connect, and for all activity that occurs under your account. Use a strong, unique password and keep your credentials confidential. You must notify us promptly at the contact address below if you suspect any unauthorized access or security incident affecting your account.

River-issued API keys are shown to you only once, at the time you create or rotate them; we cannot recover them afterwards (see §9). You are responsible for storing them securely and for any use made of them.

4. Connected exchanges and exchange credentials

To trade through the Service you authorize River to use the exchange credentials you supply (for example, exchange API keys and signing keys) to transmit orders, query balances and positions, and receive fills and other account data on your behalf. You represent that you are authorized to provide those credentials and to grant this authorization.

Your relationship with each connected exchange — including custody of your funds, settlement, and the validity of any trade — is governed by that exchange's terms, not ours. River does not hold your trading funds at the exchange and is not responsible for the acts, omissions, solvency, downtime or rule changes of any third-party exchange or blockchain network. How we protect the credentials you connect is described in §10 (Security).

5. Trading risk

Trading on prediction markets and other instruments involves substantial risk, including the risk of losing some or all of the funds you commit. Prices can move rapidly; markets may be illiquid, halted, or resolved against your position; and regulatory or exchange actions may affect your ability to trade or to realize value.

Past performance is not indicative of future results, and any analytics provided through the Service are estimates for informational purposes only and may be inaccurate or delayed. You should not trade with funds you cannot afford to lose. You accept full responsibility for evaluating the merits and risks of any transaction.

6. Fees

You are responsible for any fees, taxes, network/gas costs, and exchange charges associated with your activity.

7. Acceptable use

You agree not to, and not to attempt to:

  • use the Service for any unlawful purpose or in violation of any exchange's rules;
  • engage in market manipulation, wash trading, spoofing, or trading on the basis of material non-public information;
  • access the Service through another person's account, share your access, or use credentials you are not authorized to use;
  • probe, scan, circumvent or interfere with the security, authentication or rate limits of the Service; reverse engineer it; or introduce malware;
  • scrape, copy or harvest data from the Service except through interfaces we expressly provide, or place an unreasonable load on our infrastructure; or
  • impersonate any person or misrepresent your affiliation.

8. Intellectual property and market data

The Service, including its software, design, and content (other than your data and third-party market data) is owned by River and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own trading in accordance with these Terms. Market data displayed in the Service is provided by the exchanges and their data providers and is subject to their restrictions; you may not redistribute it.

9. Security

Protecting your data and the credentials you entrust to us is core to River. We maintain an information-security program with administrative, technical and physical safeguards designed to protect the confidentiality, integrity and availability of your data, and we are pursuing a SOC 2 Type II examination of those controls. Our commitments include:

  • Encryption in transit. All traffic between your browser or client and the Service is encrypted using TLS 1.2 or higher.
  • Encryption at rest. Customer data is stored on managed datastores with disk-level encryption.
  • Exchange credentials. The exchange credentials and signing keys you connect are protected with an additional layer of end-to-end encryption (a libsodium sealed box) on top of TLS. The private key needed to decrypt them exists only in service memory at the moment a trade or data subscription is made and is never written to disk in our application; plaintext credentials are never logged or sent to analytics or alerting tools.
  • Passwords. Account passwords are never stored by River in plaintext. Authentication is handled by our managed identity provider, which stores only salted, hashed password material.
  • API keys. River-issued API keys are stored only as irreversible cryptographic hashes; the secret value is displayed to you once at creation and cannot be recovered by us afterward.
  • Access control. Customer data is logically isolated per account using row-level security, and internal access follows least-privilege principles. Secrets are managed in a dedicated secrets-management system and injected into services at runtime.
  • Monitoring and response. We log and monitor system activity, and maintain incident-response procedures. If we become aware of a security incident that affects your data, we will notify affected users without undue delay and in accordance with applicable law.
  • Subprocessors. We engage reputable infrastructure and service providers (including our cloud, database/authentication, payments, secrets-management and analytics vendors) and require them to maintain appropriate safeguards.

Security is a shared responsibility: you are responsible for the steps described in §3, including protecting your password, API keys and connected exchange credentials. You can report a suspected vulnerability or security concern to contact@rivermarkets.com.

10. Availability and changes to the Service

We work to keep the Service available and reliable, but it is provided on an "as is" and "as available" basis. We may modify, suspend or discontinue features, perform maintenance, or impose limits, and the Service may be unavailable due to factors outside our control, including third-party exchange or network outages. We do not guarantee uninterrupted or error-free operation.

11. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law or by an exchange, or to protect the Service, other users, or our or our partners' interests. Provisions that by their nature should survive termination (including §§5, 8, 13–16 and 18) will survive.

12. Disclaimers

To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service, any market data or analytics are accurate, complete, timely, or that order routing will result in execution on any particular terms.

13. Limitation of liability

To the fullest extent permitted by law, River and its officers, employees and agents will not be liable for any trading losses, or for any indirect, incidental, special, consequential, exemplary or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify and hold harmless River and its officers, employees and agents from any claims, losses, liabilities and expenses (including reasonable legal fees) arising out of your use of the Service, your trading activity, your breach of these Terms, or your violation of any law or third-party right.

15. Changes to these Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date above. If the changes are material, we will provide reasonable advance notice — for example, by email to the address associated with your account and/or an in-app notice — before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You and River agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Service, and you waive any objection to venue in those courts.

17. General

These Terms, together with the Privacy Policy and any terms we present at the point of a specific feature, are the entire agreement between you and River regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Nothing in these Terms creates a partnership, agency or employment relationship between you and River.

18. SMS and text messaging

River uses SMS text messages to deliver one-time passcodes (OTPs) and account-security verifications. By providing your mobile number and requesting a code — during sign-up, login, password reset, or when confirming a sensitive account or trading action — you consent to receive these messages from River at that number.

  • Message types. You will receive one-time passcodes and security-verification messages only. These messages are transactional; River does not send marketing or promotional text messages under this program.
  • Frequency. Message frequency varies and corresponds to your authentication activity (for example, each time you log in or confirm a protected action).
  • Cost. Message and data rates may apply, depending on your mobile carrier and plan.
  • Opt-out. Reply STOP to any message to stop receiving texts. Because these messages are used to verify your identity, opting out may prevent you from logging in or completing security checks; you can manage SMS verification in your account security settings.
  • Help. Reply HELP for assistance, or contact contact@rivermarkets.com.
  • Carriers. Mobile carriers are not liable for delayed or undelivered messages.
  • Privacy. Your mobile number and SMS opt-in data are handled as described in our Privacy Policy and are not shared with third parties for marketing purposes.
